适用与优先顺序 / Scope and precedence
本条款适用于本公司实际运营并明确链接本条款的网站。具体报价单、订单确认、服务说明或双方签署协议与本条款冲突时，以双方特别确认且不违反强制性法律的文件为准。强制性消费者权利不因本条款被排除。
These terms apply only to sites actually operated by the company that link to them. A specifically agreed quote, order confirmation, service description or signed agreement prevails where it conflicts, subject to mandatory law. Non-waivable consumer rights remain intact.
服务与许可边界 / Services and licensing
网站介绍的软件、AI、系统集成、咨询与数字化交付仅在本公司已具备合法条件的范围内提供。营业执照经营范围中的许可项目不代表已取得专项许可；未核验许可的互联网游戏、网络文化、直播技术、广播电视节目、增值电信等服务不会上线或收款。
Software, AI, systems, consulting and digital-delivery services are supplied only within legally available scope. A licensed activity appearing in the business scope is not proof that a sector licence has been obtained. Unverified regulated services will not be launched or sold.
订单成立 / Contract formation
页面展示不当然构成不可撤销要约。合同在本公司向用户发出明确订单确认、双方签署文件或开始经用户确认的履行时成立。库存、排期、技术可行性、合规审查或明显标价错误可能导致订单在收款前被拒绝或更正；已收款项依法退回。
A listing is not necessarily an irrevocable offer. A contract forms upon an express order confirmation, signed agreement or customer-authorised performance. Availability, scheduling, feasibility, compliance review and obvious pricing errors may require rejection or correction before payment; money already received is returned as required by law.
价格、税费与支付 / Price, tax and payment
结算前显示币种、总价、税费、付款方式和交付范围。支付由页面标明的第三方支付服务商处理；本公司作为商户销售商品或服务，不自称支付机构，不保管银行卡完整数据，也不提供资金转移、清算或托管服务。
Currency, total price, taxes, payment method and delivery scope are shown before checkout. Payments are processed by the identified third-party provider. The company acts as merchant, not as a payment institution, and does not store full card data or provide transfer, clearing or escrow services.
交付、验收与变更 / Delivery, acceptance and changes
交付内容、时间、依赖资料、验收标准和修改轮次以订单或服务说明为准。因用户迟延提供资料、第三方服务不可用或不可控制事件导致的时间变化会及时说明；本公司不得以此排除其依法应承担的责任。
Deliverables, timing, dependencies, acceptance criteria and revision rounds follow the order or service description. Timing changes caused by delayed customer input, unavailable third parties or events beyond reasonable control will be communicated without excluding liability imposed by law.
账户与安全 / Accounts and security
用户应提供真实必要信息、保护账户与验证码，并及时报告异常。不得共享访问权限用于违法、侵权、攻击、绕过安全控制或滥用资源。本公司可在必要范围暂停风险操作，并提供申诉或人工复核渠道。
Users must provide necessary accurate information, protect credentials and report anomalies. Access may not be used for illegal, infringing, abusive or security-bypassing activity. Risky actions may be paused to the extent necessary, with an appeal or human-review route.
知识产权 / Intellectual property
预存知识产权仍归原权利人。项目成果的权利归属、许可范围及第三方组件以订单或协议为准；未明确转让的权利不视为自动转让。用户保证其提供的素材具有必要权利，并可依投诉流程提交权利通知。
Pre-existing rights remain with their owners. Ownership, licence scope and third-party components for project outputs follow the order or agreement; rights are not transferred merely by implication. Customers must hold required rights to supplied materials and may use the takedown process.
责任边界 / Liability boundary
任何责任限制仅在法律允许范围内适用，不排除故意或重大过失、人身损害、欺诈、法定产品或消费者责任以及其他依法不得限制的责任。间接损失、数据或利润损失的责任需结合可预见性、因果关系、双方约定和适用法律判断。
Any limitation applies only to the extent allowed by law and does not exclude fraud, wilful misconduct, gross negligence, personal injury, statutory product or consumer liability, or any non-excludable duty. Indirect, data or profit losses depend on foreseeability, causation, the agreement and applicable law.
终止与争议 / Termination and disputes
用户可按订单和退款政策取消或终止；本公司终止时应依法处理已付款项、数据导出和未完成义务。争议先通过联系与投诉渠道协商；消费者仍可依法投诉、调解、仲裁（如有效约定）或向有管辖权法院起诉。
Customers may cancel or terminate under the order and refund policy. On company termination, payments, data portability and outstanding duties are handled as required by law. Disputes should first use the complaint channel without restricting statutory complaint, mediation, arbitration (if validly agreed) or court rights.
变更 / Changes
重大变更会标明生效日期并在适用时提前通知。已成立订单不因后续网站条款单方变化而被追溯改变，法律另有规定或双方另行同意除外。
Material changes show an effective date and advance notice where required. Existing orders are not retroactively altered by later website terms unless law permits or both parties agree.
